Welcome to TumbleweedTM. These Terms of Use are an agreement between you and Bailey AG, LLC, a Missouri limited liability company that operates Tumbleweed (“Tumbleweed,” “we,” or “us”). They explain what you can expect from us and what we expect from you when using our platform. By creating an account or using Tumbleweed, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the platform.
1. Who Can Use Tumbleweed
To use Tumbleweed, you must be at least 18 years old and authorized to act on behalf of your company or organization. We’re here to help ag retailers, dealers, producers, suppliers, and OEM partners manage digital marketing in a professional setting. Tumbleweed is for business use only.
2. Creating and Managing Your Account
When you create an account, please provide accurate and up-to-date information. You’re responsible for everything that happens under your account, so keep your login details secure and don’t share them with others. If you think someone has used your account without permission, tell us right away at support@tumbleweed.digital.
3. Using Tumbleweed the Right Way
We want Tumbleweed to be a safe and effective place for everyone. You agree not to:
Break any laws or violate the rights of others
Misuse OEM marketing materials or content
Upload anything illegal, misleading, or that infringes on someone else’s rights
Send spam, harass others, or use Tumbleweed to post deceptive or harmful content
Copy, resell, scrape, or reverse engineer the platform
Try to hack, bypass, or disrupt the platform’s security or controls
4. Social Posting and OEM Access
If you choose to connect your social media accounts and allow OEMs to post on your behalf:
You are giving those OEMs permission to publish posts to your connected social channels
You are responsible for reviewing, approving, and monitoring any posts made under your accounts
Tumbleweed does not review, moderate, or control this content, and we’re not responsible for what gets posted or any legal issues that might come from it
Just to clarify, Tumbleweed is not a social media platform. We provide tools that connect with social channels through APIs, but we can’t guarantee posts will publish without errors, and we are not responsible for moderation or compliance with third-party platform rules.
5. OEM Program Participation and Data Sharing
If you participate in OEM rewards programs, Co-op reimbursements, or co-marketing initiatives through Tumbleweed:
You consent to share account usage data, content engagement, and posting performance metrics with the OEM
This information is only used to confirm your participation in their programs and to process any incentives or reimbursements
OEMs are strictly prohibited from reselling or misusing your data for unrelated purposes
OEM programs have their own rules. Those rules, and any decisions about eligibility, rewards, or Co-op reimbursements, are between you and the OEM. Tumbleweed is not a party to those programs and is not responsible for an OEM’s decisions or payments.
6. Advertising and Regulatory Compliance
You are responsible for what your marketing says and for following the laws and rules that apply to the products and services you promote. This includes:
Making sure product claims, pricing, and offers are accurate and can be supported
Following label, registration, and use restrictions for regulated ag products, such as crop protection products, seed, and animal health products
Including required disclosures, such as sponsorships, endorsements, sweepstakes rules, and AI-generated content labels
Following the advertising rules of the platforms where you post
Tumbleweed does not review your marketing for legal or regulatory compliance.
7. Connected Platforms and Third-Party Services
Tumbleweed connects with third-party services, such as Facebook, Instagram, Threads, LinkedIn, X, Reddit, YouTube, Google Drive, Dropbox, and Zernio, a social publishing service we use to connect to and post on some social accounts. When you connect an account or cloud storage, you authorize Tumbleweed to access the content you choose to share through that connection and to act on your behalf, such as publishing posts you schedule. You can disconnect any connection at any time.
Third-party services have their own terms and policies, and you agree to follow them. Those services can change, limit, or end access at any time, and we are not responsible when they do. If you use Tumbleweed’s YouTube features, you also agree to be bound by the YouTube Terms of Service.
8. Artificial Intelligence (AI) Features
Tumbleweed includes artificial intelligence (AI) features, such as the AI Assistant and AI Write, that suggest text and ideas based on your Brand Kit and the information you give us.
AI suggestions are drafts. You decide what gets posted, and you are responsible for checking suggestions for accuracy, legality, and fit with your brand
AI output can be wrong or incomplete, and similar output may be generated for other users
AI suggestions are not legal, regulatory, financial, or other professional advice
To generate suggestions, we send your prompts and the context needed to answer them to our AI service providers
As between you and Tumbleweed, you own the output you receive, to the extent the law allows. Because similar output may be generated for others, we cannot promise it will be unique or protected by copyright. When you give us your website address, Tumbleweed reads your publicly available pages to build your Brand Kit.
9. Fees, Trials, Payments, and Renewal
If you choose a paid Tumbleweed plan, you agree to pay all applicable fees and taxes according to your selected plan. Some plans start with a free trial, which ends at the end of the trial period unless you choose a paid plan.
If automatic renewal is enabled on your plan, it renews at the end of each billing period at the then-current price until you cancel. We will tell you in advance about price changes, and you can cancel before they take effect. You can cancel at any time by contacting us at support@tumbleweed.digital, and your cancellation takes effect at the end of your current billing period.
All fees are non-refundable, except where the law requires otherwise. If a payment fails, we may suspend your access until it is resolved.
10. Ending or Suspending Your Account
We reserve the right to suspend or terminate your account if you violate these Terms or misuse the platform. You can also cancel your account at any time if you choose to stop using Tumbleweed. Please save or export what you need before your account ends, because we may delete your content afterward as described in our Privacy Policy. Parts of these Terms that by their nature should continue, such as those on ownership, your content, indemnity, disclaimers, limits on liability, and governing law, continue after your account ends.
11. Ownership and Intellectual Property
Tumbleweed owns all rights to our software, branding, design, and platform features. Anything you upload to the platform remains yours, but by using Tumbleweed, you give us permission (a license) to use your content as needed to provide and operate the service. If you send us feedback or ideas, we may use them without owing you anything.
12. Your Content and Copyright
You are responsible for the content you upload, import, create, connect, schedule, or post through Tumbleweed. This includes images, video, logos, music, fonts, and text, whether it comes from your Content Library, connected cloud storage such as Dropbox or Google Drive, a website address you give us, or materials an OEM or supplier shares with you.
You agree that:
You own the content you use, or you have all the rights, licenses, and permissions needed to use it and post it, including permission from any person who appears in it
You will follow copyright, trademark, privacy, and other laws, and the rules of the platforms where you post
You will use OEM and supplier materials only as their program terms allow
You will check AI suggestions before posting them, because you are responsible for what gets published
Tumbleweed does not review, approve, or verify the content you upload or post, and we do not check whether you have the right to use it. We are not responsible for your content, or for any claim that it infringes or violates someone else’s rights. Those claims are between you and the person making them.
You agree to defend, indemnify, and hold harmless Tumbleweed and its owners, officers, employees, and contractors from any claim, loss, liability, or expense, including reasonable attorneys’ fees, that arises from your content, your use of Tumbleweed, or your violation of these Terms or someone else’s rights.
If you believe content on Tumbleweed infringes your copyright, email support@tumbleweed.digital with a description of the work and where it appears. We may remove content or suspend accounts in response to a credible complaint, and we may remove content at any time if we believe it violates these Terms or the law. We may close the accounts of users who repeatedly infringe the rights of others.
13. Beta Features
Features labeled Beta are still being tested. They may change, be limited, or be removed at any time, and they may have more errors than other features.
14. Disclaimers and Limitations
Tumbleweed is provided “as-is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. While we work hard to keep everything running smoothly, we can’t guarantee:
Posts will always publish as scheduled
Social media or OEM platform integrations will always be available without interruption
Data will always be perfectly accurate
AI output will be accurate, complete, or right for your use
To the fullest extent allowed by law, Tumbleweed is not liable for:
Indirect, incidental, special, consequential, or punitive damages
Lost profits, revenue, goodwill, or data
Content posted to your accounts by you, your team, or an OEM
Missed, delayed, or failed posts caused by third-party platforms or integrations
Decisions or actions of OEMs, platforms, or other third parties, including decisions about rewards or reimbursements
To the fullest extent allowed by law, our total liability for any claim related to Tumbleweed is limited to the greater of the amount you paid us in the 12 months before the claim arose or $100. Some states do not allow certain limits on warranties or liability, so some of these limits may not apply to you.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law rules. Any dispute related to these Terms or to Tumbleweed will be handled exclusively in the state or federal courts located in Kansas City, Missouri, and you and Tumbleweed consent to the jurisdiction and venue of those courts.
16. General Terms
These Terms and our Privacy Policy are the entire agreement between you and Tumbleweed about the platform. If any part of these Terms can’t be enforced, the rest stays in effect. If we don’t enforce a right right away, we haven’t given it up. You may not transfer your account or these Terms without our written consent, and we may transfer them as part of a merger, acquisition, or sale of our business. Neither of us is responsible for delays caused by events outside our reasonable control. No one other than you and Tumbleweed has rights under these Terms. You agree that we may send you notices through the platform or by email.
17. Changes to These Terms
We may update these Terms from time to time. If we make important changes, we will let you know through the platform or by email at least 14 days before they take effect, unless a change is needed sooner for legal or security reasons. By continuing to use Tumbleweed after changes take effect, you agree to the updated Terms.
